It was a hostile takeover. Ferrovial wanted to expand and made a bid. BAA resisted. Ferrovial raised their bid. BAA's board is bound to consider it, out of duty to their shareholders if they think the bidder is paying more than the company was worth. They extracted a very good price. I know people are worried, but they shouldn't be. It's not in Ferrovial's interest to run the airports down, on the contrary, they've paid so much, they'll be working extra hard to make a success of it.
